This Terms of Service Agreement (the “Agreement”) sets forth the terms and conditions governing use of the Easy English Editing (ÔÇ£EEEÔÇØ, ÔÇ£WeÔÇØ, ÔÇ£UsÔÇØ, and ÔÇ£OurÔÇØ) web site located at www.Easyenglishediting.com, (the ÔÇ£Web SiteÔÇØ) and any editing or reviewer services (each, a “Service” or collectively ÔÇ£ServicesÔÇØ) by Approved Users (ÔÇ£UserÔÇØ, ÔÇ£CustomerÔÇØ, ÔÇ£YouÔÇØ). By becoming an Approved User, completing the online registration process, indicating your agreement to the terms of service by checking the appropriate box on the registration page, and using the Service, you agree to be bound by all of the terms and conditions of this Agreement.
Please carefully review this Agreement before ticking the appropriate check box on the registration form (labeled: ÔÇ£Check the box to indicate that you agree to the Terms of ServiceÔÇØ). If you do not wish to accept this Agreement, do not proceed with your registration.
EEE reserves the right to update, revise, supplement and otherwise modify this Agreement from time to time. Any such changes will be effective immediately and incorporated into this Agreement. EEE will notify users via email of any significant changes made to this Agreement. It is your responsibility to ensure that your email information is up to date. Approved users are encouraged to review the most current version of the Agreement which can be found via your profile page on a regular basis to monitor for updates. Your use of a Service following the posting of any changes to this Agreement constitutes your acceptance of those changes without any further action required.
Registration, Password Use, and Security
You must complete the registration form in order to use a Service. You agree that all information provided by you during or in relation to the registration and sign-up process (“Registration Information”) will be true and complete and that you will update your Registration Information as necessary and in good time such that it remains true and complete. During the registration process, you will select a username and password for your EEE account. You are responsible for maintaining the security of your account, passwords, and files, and for all uses of your account and of the Services in your name. You must not reveal your password and must take reasonable steps to keep your password confidential and secure. You agree to immediately notify EEE if you become aware of or have reason to believe that there is any unauthorized use of your password or account or any other breach of security. EEE is in no way liable for any claims or losses related to the use or misuse of your password or account due to the activities of any third party outside of our control or due to your failure to maintain the confidentiality and security of your password or account.┬á┬á
EEE reserves the right to refuse registration of, or cancel, accounts at any time and for any reason, as EEE deems appropriate. Upon termination of your registration as an Approved User, you will no longer be allowed access to the Web Site or the Services offered through the Web Site. EEE also reserves the right to modify, suspend or discontinue any Service, including pricing and discount offers at any time. Changes made by EEE to our offered Services will be reflected in the relevant description and price information on the Web Site. In such circumstances as a change of Service, delivery time, price, or discounts, any existing Service already purchased and paid for by you shall remain unchanged.
EEE may use all Registration Information, subject to our adherence to the EEE Privacy and Security Policy, which can be found here (the “Privacy and Security Policy“). This Agreement includes terms and conditions set forth in the Privacy and Security Policy. By indicating your acceptance of this Agreement, you are consenting to have your personal data used by EEE as set forth in the Privacy and Security Policy.
Grant of License
As an Approved User of a Service, EEE grants to you a non-transferable, non-exclusive and revocable license to use the Service according to the terms and conditions set forth in this Agreement. You acknowledge that EEE owns all right, title and interest in and to the Web Site and the Services and that these are protected by U.S. and international intellectual property laws.
Disclaimer of Warranties
EEE is not responsible for the conduct of any user of the Web Site. The Web Site and the Services may be temporarily unavailable on occasion for various reasons. EEE assumes no responsibility for any error, interruption, deletion, delay in operation or transmission, theft or unauthorized access to, or alteration of, the Web Site. EEE is not responsible for any problems or technical malfunction of any online systems, servers or providers, computer equipment or software, including injury or damage to any user’s or third party’s computer related to or resulting from participating or downloading materials or Documents in connection with the Web Site or the Services.
Limitation of liability
EEE will, in no event, be liable to you or any third party for any indirect, consequential, incidental, special or punitive damages, including potential damages for any lost profits, lost data, or lost time arising from your use of the Web Site or the Services.
In the case of overpayment, whether intentional or incidental, EEE will provide a credit to your EEE account which is not redeemable for cash. This EEE credit can be used to reduce the price of purchase for future Services and shall not preclude the use of any additional approved EEE discounts.
By completing the registration process with EEE, you are opting in to receive communications from us regarding our products and services, including customer newsletters, special offers and exclusive discounts. You may opt out of these communications at any time by following the “unsubscribe” link at the bottom of any relevant email or by contacting us directly at Sales@EasyEnglishEditing.com. If you choose to opt out of communications from EEE then you will not receive emails regarding updates to this Agreement or to our Privacy and Security Policy; it will therefore be your responsibility to monitor this Agreement and our Privacy and Security Policy for any changes. Term and Termination
The license granted to you is effective until it expires, until EEE terminates it, or until you provide notice to EEE of your decision to terminate it. Your rights under this license will terminate automatically without notice if you fail to comply with any of the provisions of this Agreement.
This agreement is personal to you, and you may not assign your rights or obligations to anyone without the express written consent of EEE or its approved legal representation.
Neither failure nor delay on the part of EEE to exercise or enforce any right or privilege hereunder nor course of dealing between the parties shall operate as a waiver thereof, or of the exercise of any other right or privilege. No term of this Agreement shall be deemed waived, and no breach consented to, unless such waiver or consent is provided in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any other rights or consent to any other breach.
If any provision in this Agreement is held invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.
Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to conflicts of law principles, except if you reside outside of the United States, in which case the laws of the country of the EEE office in the region where you reside shall take precedence. The exclusive jurisdiction and venue with respect to any action or suit arising out of or pertaining to this Agreement shall be the courts of competent jurisdiction located in the State of Georgia, USA, except if you reside outside of the United States, then the courts located in the country of the EEE office servicing the region where you reside shall take precedence.
